Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Ugdio (the “Service”), a platform for managing extracurricular organizations, including groups, students, schedules, and attendance.

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

2. The Service

Ugdio helps organizations manage students, groups, weekly schedules, attendance, and related roster tools. Features may change as we improve the product. We may introduce paid plans, usage limits, or beta features from time to time.

3. Accounts

  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your login credentials.
  • You are responsible for activity that occurs under your account.
  • You must be legally able to enter into this agreement in your jurisdiction.

4. Organization data and responsibilities

You and your organization remain the owners of the content and data you upload to the Service, including student records, group information, and attendance marks.

  • You are responsible for having a lawful basis to process personal data you enter.
  • You must obtain any consents required for student or parent contact information.
  • You must not upload unlawful, harmful, or unauthorized data.
  • You decide who in your organization may access your workspace.

5. Acceptable use

You agree not to:

  • Misuse the Service or attempt to gain unauthorized access
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to violate privacy, intellectual property, or other laws
  • Resell or redistribute the Service without our prior written consent
  • Upload malware or attempt to reverse engineer the Service except where permitted by law

6. Plans, billing, and trials

Free and paid plans may be offered with different limits. If you subscribe to a paid plan, fees, renewals, and taxes will be disclosed at checkout or in order documents. Unless required by law, payments are non-refundable once a billing period starts. We may suspend access for unpaid fees after reasonable notice.

7. Intellectual property

We and our licensors own the Service, including software, design, branding, and documentation. These Terms do not transfer ownership of the Service to you. You retain ownership of your organization data.

8. Availability and changes

We aim to keep the Service reliable, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue parts of the Service with reasonable notice when practical. We may update these Terms; continued use after changes become effective means you accept the updated Terms.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk for other users, or fail to pay applicable fees. Upon termination, your right to use the Service ends. We may retain or delete data as described in our Privacy Policy and as required by law.

10. Disclaimers

The Service is provided “as is” and “as available” to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Ugdio is an operations tool and is not a substitute for professional, legal, medical, or educational advice.

11. Limitation of liability

To the fullest extent permitted by law, Ugdio and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability for claims relating to the Service will not exceed the amounts you paid us for the Service in the 12 months before the claim arose, or €100 if you use only a free plan.

12. Governing law

These Terms are governed by the laws applicable in your primary place of contracting with us, unless mandatory consumer protections require otherwise. Courts in that jurisdiction will have exclusive venue for disputes, subject to applicable law.
